A business sets up its main office in the place where it’s officially registered. This main office can be any important location, like the headquarters, a factory, a branch, or an office building. In India, where the company gets registered, this main office also acts as its legal home. The government office in the same area where this main office is located is called the Registrar of Companies (ROC). If the business wants to change the address of its main office, it has to tell the ROC within 15 days for it to be official. There are different rules for changing the company address, depending on what the company wants to do:
A. If the company wants to move its main office to a different state:
- The company has to hold a meeting with its board members and pass a special resolution.
- This special resolution updates the main office address and some important documents.
- The company must send this resolution to the government within 30 days.
- Before changing the address, the company needs to tell everyone by advertising it in newspapers.
- If the company has any debts or important agreements, it has to tell them too.
- Then, the company has to send an application to the government with all the needed papers.
- If someone doesn’t agree with the change, there will be a meeting with the government to decide.
- If there are no disagreements, the government will make it official.
- The company has to tell the ROCs about this change within 30 days and also fill out a form called INC-22.
B. If the company wants to change its office address but stay in the same city:
- The company is required to convene a Board meeting and approve a Board resolution to make changes to the registered office.
- They must send a form called INC-22 to the government within 15 days.
- They also need some documents:Â No Objection Certificate if they rent the place, a rental agreement if it’s not owned, and recent utility bills.
C. If the company wants to move to another ROC in the same state:
- They have to pass a special resolution and a board resolution, plus get approval from the Regional Director.
- They need to send a form called MGT-14 within 30 days after the special resolution.
- They must also fill out forms INC-23 and INC-28 and send them within 60 days.
- And, as usual, they have to tell the ROCs within 30 days and fill out form INC-22.
D. If the company wants to change its address within the same state and ROC:
- They have to fill out form INC-23 and get approval from the Regional Director.
- The ROC needs to approve the change within 30 days.

In conclusion, once the government approves all the paperwork, the company can officially change its main office address. After that, they need to update this new address everywhere it’s important, like in their documents, bank accounts, licenses, and any other records.
